Subject of Services
itincorporated SRL provides configuration and maintenance services for secure office networks, administration of physical and virtual servers, migration of corporate files to secure cloud systems (Azure, AWS, Google Cloud), and remote or on-site technical support for employees of client companies. Services do not include financial consulting, accounting audits, or explicit guarantees regarding the prevention of any cyberattack.
Client Rights and Obligations
The client undertakes to provide accurate and complete information regarding the existing IT infrastructure, to grant secure physical and logical access to our technical teams, and to implement the recommended security measures within 30 days of notification. The client is responsible for the security of passwords and personal devices used within the company network.
Provider Obligations
itincorporated commits to perform the services according to the technical specifications agreed upon in the contract, to use the latest security patches for managed systems, and to notify the client within 24 hours of any discovered security incident. We do not guarantee absolute immunity from cyberattacks, but apply reasonable protection measures according to industry standards.
Limitation of Liability
The total liability of itincorporated for any direct damage resulting from non-performance or improper performance of services is limited to the amount invoiced for that service in the last 12 months. We are not liable for indirect damages, data loss caused by client actions, force majeure, or cyberattacks that cannot be prevented through reasonable security measures.
Data Confidentiality
All corporate data accessed during the provision of services is treated as strictly confidential and is not shared with third parties without the client's written consent. Data is stored on secure servers in Romania or the EU, and access is limited to authorized technical personnel. The complete privacy policy is available at policy.html.
Contract Duration and Termination
The contract is concluded for a fixed term of 12 months, with automatic renewal for successive 12-month periods, unless either party notifies its intention to terminate at least 30 days before expiration. Early termination is possible upon payment of a penalty of 25% of the remaining contract value, except in cases of gross non-compliance by one of the parties.
Modification of Terms
itincorporated reserves the right to modify these terms and conditions with a 30-day notice, communicated by email to the client's contact address. If the client does not agree with the changes, they may terminate the contract without penalties within the notice period.
